The Deutsche Lufthansa AG Group has decided to exercise the option to acquire 90% of the capital of ITA Airways, purchasing an additional 49% for a value of 325 million euros. The Ministry of Economy and Finance will retain the remaining 10%. The transaction, subject to approval by the competent authorities, including the European Commission and the U.S. Department of Justice, is expected to be completed in the first quarter of 2027.

This acquisition represents a strategic step in the development path of ITA Airways, which is preparing for a new phase of growth within the Lufthansa Group, improving its positioning in the European and international air transport market.

ITA Airways will continue to operate under its own brand, which will be enhanced within the Group’s structure. The brand maintains a young and distinctive identity, strongly linked to Italy and the values of quality, innovation, reliability, and customer care.

Integration with the Lufthansa Group will allow ITA Airways to develop industrial and commercial synergies with the other companies in the Group, while preserving its Italian identity. This strengthens ITA Airways’ role as a reference carrier for Italy, contributing to the growth of national connectivity and promoting Made in Italy worldwide.

Italy, the third-largest economy in the European Union, represents a strategic market and the largest base for the Lufthansa Group outside of the United States and domestic markets. ITA Airways thus confirms its central role in connecting the country with the rest of the world, supporting tourism, business, trade exchanges, and international mobility.

The integration process of ITA Airways as the fifth network airline of the Lufthansa Group will continue, building on the results already achieved in terms of improved travel experience, service integration, and quality of the offer.

Looking to the future, ITA Airways aims to offer its customers an increasingly integrated, efficient, and competitive experience, leveraging the opportunities arising from belonging to a large international group and keeping at the core its Italian vocation, service quality, and the enhancement of its human resources.

Joerg Eberhart, CEO and General Manager of ITA Airways, emphasized the strategic importance of this new phase, highlighting how full integration into the Lufthansa Group will allow it to compete more strongly in international markets, continuing to enhance the Italian contribution in the aviation sector.
